Corruption in an age of austerity: bribery investigations
Did the Embraer case make you sit up and take note? Keen to avoid the falling stock price and blighted image, Brazilian GCs are more concerned about anti-corruption measures than ever – but tighter budgets make the situation ever-harder. This two-part session will look firstly at how to prevent the unthinkable happening, and secondly, at what to do if it does.
One: Brazilian GCs have to blend FCPA, UKBA and Brazilian anti-corruption measures into one complex compliance programme. What are the key planks of a compliance programme that will help avoid an international investigation?
Presentation by: Euridice Mason, legal manager for corporate affairs, Lafarge Brasil
Two: Investigations into bribery allegations: how will you respond? What is your role? How will the company overall react?
Presentation by: Mauricio Nazar de Abreu, legal manager, Diebold
Compliance – the new antitrust law
The new antitrust law is compelling a renewed focus on competition compliance, from behavioural matters to structuring M&As. Are you ready? This session will look at key updates, and examine how useful a fake dawn raid would be to ensure you know you can deal with any outcome.
Presentation by: Carol Elizabeth Conway, director, regulatory affairs, UOL Inc
11.15 – 11.45 Coffee
Getting value out of law firms
A recent LACCA / Latin Lawyer survey showed Brazilian law firm partners charging up to US$700 an hour, with above-inflation rises over recent years – which means that even if your budget is going up (and that is far from certain), you can feel like you are sprinting just to stand still. Our regular consultant Pam Woldow of Edge International will give her unique insight into the very different things general counsel all over the globe are doing to control spending, and really get value out of law firms.
13.15 - 14.30 - Lunch
Crisis management – what is the GCs’ role?
Today, when a huge crisis hits the company, it can come down to the GC to manage the issues, including appropriate responses to the government, the media, the shareholders, stakeholders, the public, and more. What policies and processes should you have in place already, and what lessons can be learned from current examples in the market?
Presentation by Luis Galvão, general counsel Unilever Brasil, and Leticia Lyra, Edelman
Government relations management
Lobbying is a very dirty word in Brazil, but politics and government regulation affect every aspect of profitability. Corporate legal counsel can, and do, advocate successfully to various government bodies, in Congress and regulatory agencies – but must do so professionally and ethically, as well as ensuring without room for doubt that all contracted agencies doing so on their behalf are FCPA compliant. This session will look at how to interact with the government without compromising standards.
Presentation by: Carolina Strobel, deputy general counsel, Intel Capital Latin America
15.45-16.15 – Coffee
How to make competitive bids work for you
The age of the consigliere is over, and companies are now used to working with many firms at once. This session will look at making sure you know how to make the bids work for you. How useful is the procurement department, and what criteria are key to include?
Presentation by: Clovis Camargo, general counsel, Waterford
Your company online – who is protecting it?
Monitoring your company’s presentation online, including networking sites such as LinkedIn and Facebook, is an important part of examining and protecting intellectual property assets and dealing with privacy and data protection issues. What are the risks and challenges companies are facing? This session will look at identifying and protecting against risks to your brand and developing strategies for protecting both the company and its data across borders.
Presentation by: Fernanda Marques Bayeux, legal manager, Sumitomo Corporation do Brasil
Hiring and retaining talented counsel when everyone is growing
As GC’s role is heavily weighted towards people management, the turnover and volatility of scarce resources to work in-house are becoming one of the greatest challenges in Brazil. What do you need to do to find suitable people, and what keeps them in the company?
Presentation by: Cristiano Bernarde, Latin American legal head, SAP
