Recent activity
Advised Tricolor and Inverpint in a US$96 million public takeover bid that was launched on 3 January. By said public takeover, Pinturas del Sur, a vehicle company created for the acquisition by Peruvian Grupo Brescia, acquired Inverpint, which owns a 64 per cent stake in Tricolor, from Chile’s Larraín family. Tricolor holds some 20 per cent of the Chilean paint market share, owns several companies, including Pinturas Revor, Pinturas Iris in Chile, Peruvian paint companies Industrias Tricolor Peru and Industrias Vencedor, and Peruvian ink manufacturer Tintas Graficas Vencedor.
ElectroPeru SA, the major power generating company of the Peruvian government, awarded APR Energy LLC Sucursal del Peru with a contract for the installation of a 60MW emergency thermal power plant in Mollendo, which will enter into operation in May 2012. The estimated contract value is US$15 million.
The firm advised Gran Tierra in the acquisition of the operatorship and 100 per cent participation interest of Petrolifera Petroleum Limited in blocks 106, 107 and 133.
The firm also acted as legal counsel of Upland Oil & Gas LLC in the regional studies agreement between Upland Oil & Gas LLC and Peru’s state-owned oil company, Perupetro SA, to determine the presence of non-conventional hydrocarbon resources that can be commercially exploited in Peru.
Representation of Ecopetrol SA in the licence contract for the exploration and exploitation in block 179 executed with Peru’s state-owned oil company, Perupetro SA.
Legal counsel to Consortium Hospital Abancay preparing the preliminary draft, the final studies, the technical report at the level of performance of work and the contracting of the work for the New Hospital II Abancay. The project was for US$18.327 million.
Legal counsel to Consortium Hospital Trujillo for the construction of the New Regional High Complexity Hospital of La Libertad. The project was for US$41.789 million.
Legal counsel to Sinochem, YPF SA, Ecopetrol and Pitkin Petroleum in Perupetro’s 2010 bidding round for the awarding of blocks for licence contracts for the exploration and exploitation of hydrocarbons.
Legal counsel to Ecopetrol for the acquisition of Petro-Tech Peruana, an oil company that has several exploration and production blocks offshore in Peru. Petro-Tech was purchased in equal parts by Ecopetrol and Korean National Oil Company and the transaction was for US$900 million.
The firm acted as counsel to Banmedica SA in the process to acquire 55 per cent of the shares of Empremedica SA, a holding company that owns 100 per cent of the shares of Laboratorios Roe SA, as well as most of the shares of Clinica San Felipe SA.
Legal counsel to Holding Continental (BBVA and Brescia Group) in the acquisition process of the shares of Banco Continental in the sale made by the Peruvian government.
Furthermore, the firm acted as legal counsel to Ecopetrol for acquiring a participation interest in the technical evaluation agreements of areas XXVI, XXVII, XXVIII, XXIX, XXX and XXXI, which are located in the jungle border with Colombia.
