Mergers & acquisitions, joint ventures & partnerships: Extensive experience dealing with buy and sale side of mergers and acquisitions, asset sales and purchases, election contests, tender and exchange offers, going-private transactions, LBOs, MBOs, spin-offs, corporate governance matters and related transactional and advisory matters. Transaction activity through a broad range of sectors including: banking and financial institutions, telecoms and media, agribusiness, retail, energy and alternative and renewable energy, and infrastructure projects.

Capital markets: The firm acts regularly as issuer’s counsel in connection with Latin American debt and equity capital markets transactions. Debt transactions include commercial paper programmes, medium-term note and rated securitisation programmes, tenders and exchange offers, and bond offerings. Equity transactions include ADR programmes, listings, and equity offerings and conventional private placements.

Private equity & venture capital: Representation of venture capital firms, sponsors of private equity funds, registered investment companies and investment managers and advisers in connection with capital formation, portfolio investment, asset management, capital raising and related commercial activities.

Domestic & international structured finance & securitisation: Representation of underwriters; issuers; investors and credit enhancers; servicers, special servicers and trustees; public and private transactions, including remittances, MT-100s, DPRs, mortgage loans, debt securities; trade, credit card, lease, healthcare and film receivables and music royalties.

Infrastructure, project finance & energy: Representation includes international infrastructure funds of bulge bracket financial institutions in connection with fund structuring, marketing and distribution, as well as portfolio investments in water treatment and distribution, power generation, clean energy, transportation (toll roads, airports and seaports, bridges, rails and tunnels), communications and other sectors. Energy representation includes upstream oil and gas, midstream, downstream, power generation and power transmission, as well as energy financing and energy commodity trading. Representation includes all sectors of the renewable energy industry, including wind, geothermal, hydroelectric and solar power generation, as well as biodiesel and ethanol producers and trading companies.

Litigation & arbitration: Members of the firm have long been recognised as leaders in the international arena, managing parallel proceedings in foreign courts while trying litigation matters in the US, litigating matters involving international arbitrations, the Foreign Sovereign Immunities Act, the Foreign Corrupt Practices Act, asset recovery, extraterritorial application of US law, complex multi-jurisdictional and conflict of law disputes, and the enforcement of foreign judgments.

Global trade: The team is headed by the former chief judge of the appellate body of the World Trade Organization. Real estate: Representing a substantial number of the private equity real estate fund investors, pension fund managers and consultants, endowment funds, financial institutions and high net worth individuals in the region.
