During 2011, the firm has advised Astaldi Sucursal Perú on the Engineering Procurement Contract executed for the construction of the Proyecto Cerro del Aguila, a hydroelectric power station of 504MW in Huancavelica, Peru. The amount of the transaction was US$750 million. As well, the Firm assisted Iberian Minerals Corp in the placement of equities on the secondary market in order to finance the acquisition of a net profit interest of Trafigura in Compañía Minera Condestable for the amount of US$60 million.

In addition, our firm advised Aventura Plaza SA in a transaction in which Scotiabank publicly placed approximately US$24 million in asset-backed bonds under a US$37 million account-receivables securitisation program. We also advised Gavea Investimentos on the acquisition of 31.75 per cent of the capital stock of Camil Alimentos SA, by means of the acquisition of shares of the current controlling shareholders and the subscription of newly issued shares.

Estudio Ferrero also provides regular legal assistance to Banco de Crédito del Peru in several capital market and corporate financing deals throughout the year.

Estudio Ferrero also provides transactional tax counselling and tax planning services to companies spanning in a wide range of industries. In that context, Estudio Ferrero has been providing tax counselling to the largest Peruvian mining companies, such us Doe Run Peru, BHP Billiton, and Mitsui Mining, and other large companies such as Telefonica del Peru SAA, Ansaldo Breda, and Astaldi Sucursal del Peru, among others, regarding administrative and judicial proceedings with the tax administration, setting legal precedents and reducing the tax assessments made by the authority.

Our firm has provided both legal and tax assistance to Orica Nitratos Perú in the execution of a project for the construction and operation of an ammonium nitrate plant in Peru, with an estimated investment of over US$500 million.

Since 2007, our firm has been providing legal assistance to Xstrata Tintaya regarding several tax assessments notified by the Peruvian Tax Administration (SUNAT) related to its income tax and value added tax in operations related to the consolidation of results of mining projects, roll back, deduction of expenses, among others.

Also, Estudio Ferrero, through one of its founding partner, Jaime Zavala, former minister of labour and social development, led the legal advice in the successful collectives bargaining’s negotiations of multi-nationals corporations with their unions, such as Buenaventura (one of the largest gold producers in Peru), Kraft Foods Peru SA, Alicorp, and Orica Mining Services.

Finally, lawyers of the firm have accepted positions as members of the Cabinet, been elected members of Congress and of the Lima City Council, and served as chairman of the board of the National Commission for Foreign Investments and Technology.
