In 2009, the firm opened an office in Santiago in order to provide legal advice on Peruvian law matters to Chilean investors who wish to explore investment ventures in Peru, as well as to serve as liaison for Peruvian companies investing in Chile or looking for investment opportunities in Chile with Chilean law firms, investment banks and the business community. The office in Santiago will not practise Chilean law.

Our main areas of practice include:

Mergers and acquisitions: The firm has the experience and knowledge needed to deal with large and complex M&A transactions (acquisition of private and public companies, asset purchases, MBO, LBO, and acquisition of distressed companies.

Banking & finance: Working with banks and multilateral financial organisations, as lenders or arrangers, provides the firm its expertise in credit transactions, and complex financing structures, project and securitisation bond issuances.

Capital markets: The firm has been involved in domestic and international capital market transactions as advisers to investment banks and issuers, incorporation of investment funds and development of financial products addressed to institutional investors.

Corporate reorganisation and bankruptcy: These services involve bankruptcy proceedings, corporate reorganisations, global agreements, acquisition and sale of debt, and strategies for the acquisition of corporations under insolvency proceedings.

Privatisations, concessions and projects: The firm actively advises domestic and international clients in concessions and privatisations, including bidding processes, financings, as well as project finance and financings of concession projects.

Construction and engineering: The firm has extensive experience with respect to contractual issues, project finance, arbitration and ADR related to local and international public and private projects, including PPI/PFI, in projects such as highways, railways, public transportation, ports, airports, power plants and process plants.

Corporate conflicts and litigation: Increasingly complex financial and corporate transactions, sophisticated parties (minority shareholders, regulators and creditors) and constant changes in regulations contribute to the greater frequency of financial and commercial corporate conflicts.

Taxation: The firm provides adequate tax planning, oriented at maximising the benefits of the company while avoiding tax contingencies; as well as provides comprehensive advice in tax law, applied to complex financial structures, in order to optimise costs involved in an operation.

Labour: The firm provides counsel for cost reductions and feasible employee hiring and termination practices, as well as counselling in litigation related to employment issues and administrative procedures before the Department of Labour and Promotion of Employment and Social Security.
