Main areas of practice

Projects: The firm actively participates in some of the most important investment projects currently taking place in Peru. The firm is currently counselling: TGP, an international consortium, in the development of an additional gas supply pipeline at an estimated US$700 million; Calidda, an AEI Energy subsidiary, in the expansion of its gas distribution network in Lima and Callao at an estimated US$250 million; and Nitratos del Perú (a joint venture between Grupo Brescia and Sigdo Koppers) in the installation of a petrochemical plant complex at an estimated US$650 million. The firm also recently counselled Odebrecht, a Brazilian construction company, in successfully launching its private initiative for the operation and maintenance of irrigation works for about 150,000 hectares of the Olmos Project. The firm has a well-respected growing mining and environment practice, esteemed for assisting Strike Resources Limited connection with its iron ore projects in Peru.

Banking & finance: During 2009 and 2010 the firm participated in international issuances by Peruvian companies for an aggregate amount in excess of US$3 billion, which included the first two 144A/Reg S issuances of hybrid instruments by Peruvian banks, several DPR securitisations and several senior unsecured instruments, in which we assisted JP Morgan, Bank of America – Merril Lynch, West LB, Sumitomo, Banco de Crédito del Perú – BCP, BBVA Banco Continental and Interbank. The firm also acted for the local subsidiary of Brazilian OAS on the issuance of US$112 million of debt notes in on the global markets. On the bank lending side, the firm represented and acted for Fortis Bank and BNP Paribas on a US$400 million secured loan facility in favour of Cormin, for bank syndicate led by Citibank and BBVA Banco Continental on a US$100 million secured loan to Pesquera Diamante, and also Enersur (Suez) on a US$310 million leasing with BCP (the largest leasing loan in Peru). The firm also advised Peru LNG and Citibank in the two most important public offerings that took place in the local market.

Mergers & acquisitions: In the past few months, its prestigious M&A practice included representation of The Mosaic Company in a combined acquisition with Mitsui of a 60 per cent economic interest in Vale’s Bayovar phosphates project for a total of US$660 million and the representation of Petrominerales on the acquisition of several oil blocks in Peru. The firm was also involved in several important M&A deals in the banking industry, such as the sale Financiera Edyficar to BCP. The firm acts as regular outside corporate counsel to various multinationals investors and it is also one of the firms of choice of some of the largest Peruvian conglomerates for their complex corporate transactions

Labour, tax and dispute resolution: Each of the firm’s labour, tax and dispute resolution departments is recognised as among the finest in the country. The labour practice has been active advising clients in complex labour inspection procedures, work restructuring programmes and collective bargaining processes, among other labour matters. The dispute resolution practice is recognised for its expertise in complex regulatory disputes as well as in corporate and investor-related disputes. The tax practice has been active assisting on complex M&A and financial transactions, being instrumental in the structuring of the first two 144A issuances of hybrid instruments by Peruvian banks, while it was recognised by the International Tax Review as a top-tier team on transactional tax and tax planning for two consecutive years (2009 and 2010) and short-listed in the ITR Americas Awards as Tax Firm of the Year (2009 and 2010), Tax Litigation Firm of the Year (2009) and Latin America Tax Restructuring Firm of the Year (2010).

Pro bono: The firm is a signatory of the Pro-bono Declaration for the Americas, promoted by the Cyrus R Vance Center for the Promotion of International Justice. It recently completed the first Probono Challenge, a contest of pro-bono project proposals directed to law students from all around Peru.
